Terms of Service

These Terms of Service ("Terms") govern your use of AutoChase ("Service"), operated by AutoChase ("we", "us", "our"). By creating an account or using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Service you represent that you meet these requirements. The Service is intended for use by businesses and self-employed individuals; it is not a consumer product.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@autochase.app if you suspect any unauthorised use. We may suspend accounts that we reasonably believe are being misused.

4. Pro Subscription — Billing and Payment

4.1 Subscription Plans

The Pro plan is available on a monthly basis (£9.00 per month) or an annual basis (£79.00 per year, subject to change). Prices are inclusive of any applicable VAT where required.

4.2 Payment Processing — Paddle

All subscription payments are processed by Paddle.com Market Ltd ("Paddle"), who acts as the Merchant of Record and seller of record for all Pro subscription transactions. This means that when you purchase a Pro subscription, your contract of sale is with Paddle, not directly with us. Paddle handles payment processing, invoicing, VAT collection, and related compliance obligations.

By purchasing a Pro subscription you also agree to Paddle's Terms of Use and Paddle's Privacy Policy, which govern the payment transaction.

4.3 Auto-Renewal

Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. You authorise Paddle to charge your payment method on a recurring basis.

4.4 Free Trial

We may offer a free trial period. During the trial no charge is made. At the end of the trial your subscription begins and your payment method is charged unless you cancel before the trial ends. We reserve the right to withdraw free trial offers at any time.

4.5 Cancellation

You may cancel your Pro subscription at any time from the Billing section of your account settings. Cancellation takes effect at the end of the current billing period; you retain Pro access until that date. No partial-period refunds are issued except as required by law — see our Refund Policy.

4.6 Suspension for Non-Payment

If a payment fails and is not resolved within a reasonable period, we reserve the right to downgrade your account to the Free plan. You remain responsible for any outstanding amounts.

4.7 Price Changes

We may change subscription prices with at least 30 days' notice. Notice will be given via email to your registered address. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

5. Free Plan Limitations

The Free plan permits up to three (3) active invoices at any time and excludes certain features (auto-chase sequences, PDF download, aging reports, CSV export, AI-drafted reminders) which are available on the Pro plan only.

6. Your Data

You retain full ownership of the invoice data, client data, and other content you create or upload ("Your Content"). You grant us a limited, non-exclusive licence to store, process, and display Your Content solely to provide the Service. We do not sell or share Your Content with third parties except as described in our Privacy Policy.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability and will endeavour to provide advance notice where possible. The Service is provided "as is" and "as available".

8. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) £50. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless AutoChase, its officers, directors, and employees from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your infringement of any third-party rights.

10. Intellectual Property

The AutoChase name, logo, software, and all associated intellectual property are owned by or licensed to us. Nothing in these Terms transfers any intellectual property rights to you other than the limited licence to use the Service as described herein.

11. Third-Party Integrations

The Service integrates with third-party services (including Paddle for payment processing and n8n for workflow automation). We are not responsible for the availability, accuracy, or content of any third-party service.

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not accept the changes, you may close your account before the effective date.

13. Termination

Either party may terminate the relationship at any time. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law. Upon termination you may export your data; we will retain it for a period in accordance with our Privacy Policy before deletion.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer (which these Terms are not primarily intended for), you may also have rights under the law of your country of residence.
